The platform facilitates introductions and connections only. Any employment, engagement, or contractor relationship formed through the platform is solely between the healthcare professional and the healthcare facility. Find A Staff LLC is not a party to such arrangements except as described in these policies.
By accessing or using this website and platform, all users — including healthcare professionals, facility administrators, and visitors — agree to be bound by these policies and agreements in their entirety.
Find A Staff LLC respects the privacy of all users and is committed to protecting the personal information collected through our website and platform. This Privacy Policy describes how we collect, use, share, and safeguard your information, and your rights regarding that information.

Depending on how you use our platform, we may collect the following categories of personal information:

Platform Role Under HIPAA
Because Find A Staff LLC operates as a technology intermediary and does not directly provide or manage patient care, PHI is primarily managed and controlled by the healthcare facilities and licensed professionals who use the platform. These entities are generally designated as Covered Entities or Business Associates under HIPAA and bear primary responsibility for compliance with applicable privacy rules.
User Compliance Obligations
All users of the Find A Staff platform — including facilities and individual healthcare professionals — are independently responsible for:
- Complying with HIPAA Privacy and Security Rules applicable to their role
- Ensuring that PHI accessed through or facilitated by the platform is handled with appropriate safeguards
- Maintaining required Business Associate Agreements (BAAs) where applicable
- Reporting breaches of unsecured PHI in accordance with HIPAA Breach Notification requirements
- Complying with Florida's Health Information Privacy Law (FHIPA) and other applicable state statutes
Platform Safeguards
Find A Staff LLC implements reasonable administrative, physical, and technical safeguards to protect sensitive information stored or processed on our systems. Where the Company qualifies as a Business Associate under HIPAA, we are prepared to execute appropriate Business Associate Agreements upon request.
Reporting Privacy Concerns
If you believe that your privacy rights have been violated, or if you suspect a security incident affecting health information on this platform, please contact us immediately using the contact information in Section 17. You also have the right to file a complaint with the U.S. Department of Health and Human Services, Office for Civil Rights.
By accessing or using the Find A Staff platform in any capacity, you agree to be legally bound by these Terms of Use. These Terms constitute a binding legal agreement between you (individually or as an authorized representative of an entity) and Find A Staff LLC. If you do not agree to these terms, you must discontinue use of the platform immediately.
User Eligibility — Healthcare Professionals
To register and participate as a healthcare professional on the Find A Staff platform, you must:
- Be at least 18 years of age at the time of registration
- Hold current, valid professional licenses or certifications required for your discipline and practice state(s), in full compliance with all applicable state licensing boards
- Have no sanctions, restrictions, or exclusions from federal or state healthcare programs (e.g., Medicare, Medicaid) unless explicitly disclosed and reviewed
- Comply with all applicable federal and state healthcare regulations, including but not limited to, scope-of-practice statutes and patient safety requirements
- Maintain accurate, complete, and up-to-date profile information at all times
User Eligibility — Healthcare Facilities
To use the Find A Staff platform as a healthcare facility, you must:
- Maintain all licenses, certifications, and accreditations required to legally operate as a healthcare facility in your jurisdiction
- Comply fully with applicable federal and state healthcare laws, workplace safety regulations, labor laws, and CMS Conditions of Participation
- Designate an authorized administrator responsible for managing your facility's account activity
- Agree to independently verify the credentials of any professional prior to permitting clinical duties (see Section 7)
Account Responsibility & Security
You are solely responsible for maintaining the security and confidentiality of your account login credentials. You agree not to share your username, password, or access tokens with any third party. You accept full responsibility for all activities, transactions, and submissions that occur under your account, whether or not authorized by you.
If you suspect unauthorized access to your account, you must notify Find A Staff immediately at the contact information listed in Section 17. Find A Staff LLC shall not be liable for any loss or damages arising from your failure to protect your credentials.
Prohibited Conduct
Users may not use the platform to:
- Misrepresent credentials, licenses, qualifications, or identity
- Engage in fraudulent, deceptive, or unlawful activity
- Harass, threaten, or harm other users
- Circumvent the platform's payment or matching systems
- Upload malware, viruses, or harmful code
- Violate any applicable federal, state, or local law
Violation of these prohibitions may result in immediate account suspension or termination, and may expose the user to civil or criminal liability.
Nothing in these Terms, the platform's operation, or any transaction facilitated through the platform shall be construed to create an employment, agency, franchise, or partnership relationship between Find A Staff LLC and any healthcare professional.
What Find A Staff Does Not Control
As an independent contractor platform, Find A Staff LLC does not direct, control, or supervise any of the following:
- The professional's work schedule, shift hours, or the number of shifts accepted
- Clinical decision-making, treatment plans, or patient care protocols
- Professional supervision or the manner and method of performing healthcare services
- The tools, equipment, or supplies used during clinical assignments (unless provided by the facility)
Responsibilities of the Healthcare Professional
As an independent contractor, each healthcare professional is responsible for their own:
- Federal, state, and local income tax reporting and payment (including self-employment taxes)
- Professional liability (malpractice) insurance coverage appropriate for their role and assignments
- Workers' compensation insurance, unless provided by the engaged facility
- Compliance with all licensing, continuing education, and scope-of-practice requirements
Facility Supervision
Healthcare facilities that engage professionals through Find A Staff are solely responsible for providing appropriate clinical supervision and direction during any assignment. The facility assumes all responsibilities associated with the direction of professional services rendered at their premises.
Healthcare facilities that use the Find A Staff platform agree to the following obligations, which are material conditions of their use of the platform. Failure to comply may result in suspension or termination of platform access and may expose the facility to legal liability.
Licensing & Accreditation
- Maintain all federal and state licenses, permits, certifications, and accreditations required to legally operate as a healthcare facility (e.g., CMS certification, state AHCA licensure in Florida, Joint Commission accreditation where applicable)
- Promptly notify Find A Staff of any suspension, revocation, or material restriction of any such license
Supervision & Oversight
- Provide appropriate clinical supervision and direction to all healthcare professionals during their engagement at the facility
- Designate a qualified on-site supervisor or charge staff for each shift staffed through the platform
- Ensure all professionals work within their licensed scope of practice as defined by applicable state law
Credential Verification (Primary Responsibility)
- Independently verify all submitted credentials, licenses, and certifications prior to permitting any professional to provide clinical care — regardless of any verification status indicated on the platform
- Conduct or obtain primary source verification with the relevant state licensing board(s) where required
- Comply with OIG exclusion list screening requirements prior to any Medicare/Medicaid-billable engagement
Workplace Safety & Legal Compliance
- Provide a safe working environment in compliance with OSHA regulations, applicable state workplace safety laws, and CDC/CMS infection control guidelines
- Comply with all federal and state labor laws, including anti-discrimination statutes (Title VII, ADA, ADEA) and applicable wage and hour laws
- Carry adequate general liability, professional liability, and workers' compensation insurance as required by law or contract
To maintain platform integrity and promote patient safety standards, Find A Staff LLC may collect and review professional credentials submitted by healthcare professionals. However, users must understand the scope and limitations of any verification conducted through the platform.

Platform Verification Limitations
Primary Responsibility of Facilities
Healthcare facilities remain solely and independently responsible for conducting their own primary source verification of all credentials and licenses before permitting any healthcare professional to provide clinical care at their facility. Reliance solely on platform-displayed verification status is insufficient for legal and accreditation compliance purposes.
Accuracy Representations by Professionals
By submitting credentials to the platform, healthcare professionals represent and warrant that all submitted information is accurate, current, and complete. Submitting false, misleading, or expired credentials constitutes a material breach of these Terms and may result in immediate account termination and referral to appropriate licensing authorities.
As a condition of registration and continued use of the Find A Staff platform, healthcare professionals may be required to authorize and consent to background screening. This screening helps protect patients, facilities, and the integrity of the platform.
Scope of Background Screening
Background checks facilitated through or required by the platform may include:
- Criminal background check: County, state, and federal criminal history records, including felony and misdemeanor convictions
- Sex offender registry search: National and state sex offender databases
- Identity verification: Social Security number trace and government ID validation
- OIG/SAM exclusion screening: Federal exclusion from participation in Medicare, Medicaid, and other federal healthcare programs
- License verification: Confirmation of active, unrestricted licensure with applicable state boards
- Employment history review: Verification of prior healthcare employment, where applicable
- Abuse registry checks: State adult and/or child abuse and neglect registry searches where required by law
Third-Party Screening Providers
Background checks may be conducted by authorized third-party consumer reporting agencies in compliance with the Fair Credit Reporting Act (FCRA) and applicable state equivalents, including Florida's equivalent statutes. Professionals will receive all required FCRA disclosures and will have the right to dispute inaccurate information.
Find A Staff LLC may charge fees for access to and use of the platform. All fees are disclosed to users at or before the point of transaction. By accepting a fee-based service, you agree to pay all applicable charges.
Types of Platform Fees
Depending on user type and services utilized, fees may include:
- Facility service fees: Charged to healthcare facilities for successfully filled shifts or placements facilitated through the platform
- Shift booking fees: Per-shift transactional fees applicable to certain booking arrangements
- Subscription fees: Recurring monthly or annual fees for premium platform access, advanced features, or enhanced matching services
- Payment processing fees: Standard fees assessed by third-party payment processors (e.g., credit card processing surcharges), where applicable
Payment Processing
All payments are processed through PCI DSS-compliant third-party payment providers. Find A Staff LLC does not store complete credit card numbers on its servers. By submitting payment information, you authorize the applicable payment processor to charge your designated payment method in the amounts agreed upon.
Refunds & Disputes
Platform fee refund eligibility will be determined on a case-by-case basis in accordance with our refund policy, which may be updated from time to time. Find A Staff LLC is not responsible for payment disputes, wage disagreements, or billing discrepancies arising directly between healthcare facilities and healthcare professionals. Such disputes must be resolved between the parties involved.
Tax Responsibilities
Users are solely responsible for all applicable taxes on payments received through or in connection with the platform, including income taxes, self-employment taxes, and any applicable sales or service taxes. Find A Staff LLC may issue IRS Form 1099 or other tax documentation as required by law.
Late Payments & Chargebacks
Facilities with outstanding balances may have their platform access suspended. Fraudulent chargebacks may result in account termination and pursuit of collection remedies available under applicable law.
Platform Disclaimer
Find A Staff LLC operates solely as a technology platform that facilitates connections between healthcare facilities and independent healthcare professionals. The Company does not recruit, employ, place, assign, supervise, or direct healthcare professionals in any clinical capacity. The Company is not a healthcare employer, staffing agency, licensed healthcare provider, or home health agency as defined under applicable state or federal law.
No Employment Disclaimer
Healthcare professionals who use the Find A Staff platform are independent contractors. They are not, under any circumstances, employees, agents, servants, or representatives of Find A Staff LLC for any purpose, including but not limited to tax liability, workers' compensation, unemployment insurance, employee benefits, or employment discrimination laws.

- User reliance on any information, content, or services provided through the platform
- Third-party products, services, or websites linked from or integrated with the platform
- Force majeure events including natural disasters, pandemics, cyberattacks, or government actions
Aggregate Liability Cap
To the extent any liability is found notwithstanding the above disclaimers, the total aggregate liability of Find A Staff LLC to any user for any and all claims arising out of or related to these Terms or the platform shall not exceed the greater of: (a) the total fees actually paid by you to Find A Staff LLC in the twelve (12) months preceding the claim, or (b) One Hundred U.S. Dollars ($100.00).
You agree to defend, indemnify, and hold harmless Find A Staff LLC, its parent company, subsidiaries, affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your access to or use of the platform
- Any professional healthcare services you provide or fail to provide through or in connection with the platform
- Your violation of any provision of these Terms of Use or any other applicable policy
- Your violation of any applicable federal, state, or local law, regulation, or professional standard
- Any misrepresentation of your credentials, qualifications, identity, or account information
- Any infringement of any intellectual property or other rights of any third party
- Any claim by a patient, family member, or other third party arising from services provided by you during a placement facilitated through the platform
Find A Staff LLC reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate fully with Find A Staff in asserting any available defenses.
Binding Arbitration
Except as provided below, any dispute, controversy, or claim arising out of or relating to these Terms of Use, the platform, or any services provided by Find A Staff LLC — including disputes about the validity, enforceability, or scope of this arbitration agreement — shall be resolved exclusively through final and binding arbitration, rather than in court. Arbitration shall be conducted in accordance with the rules of the American Arbitration Association (AAA) Commercial Arbitration Rules, as modified by this agreement.
Arbitration Procedures
- Arbitration shall be conducted by a single, neutral arbitrator
- The arbitration shall take place in Duval County, Florida, or via remote/virtual hearing by mutual agreement
- The arbitrator may award any relief that a court of competent jurisdiction could award, including declaratory or injunctive relief limited to the individual dispute
- The arbitrator's decision shall be final and binding, and judgment may be entered upon it in any court of competent jurisdiction
Class Action Waiver
YOU AND FIND A STAFF LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims.
Exceptions to Arbitration
Notwithstanding the above, either party may seek emergency injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration. Small claims court actions within applicable jurisdictional limits are also excluded from mandatory arbitration.
Opt-Out Right
New users may opt out of the arbitration agreement within 30 days of first accepting these Terms by sending written notice to the contact information in Section 17. Your opt-out will not affect your ability to use the platform.
These Terms of Use and all related policies shall be governed by, construed, and enforced in accordance with the laws of the State of Florida, without regard to its choice of law or conflict of law provisions.
Venue & Jurisdiction
To the extent that any legal action is permitted (including claims not subject to mandatory arbitration under Section 14), the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Duval County, Florida for the resolution of any such dispute.

- Americans with Disabilities Act (ADA), 42 U.S.C. § 12101 et seq.
- Fair Credit Reporting Act (FCRA), 15 U.S.C. § 1681 et seq.
- Florida Health Information Privacy Act (FHIPA)
- Florida Agency for Health Care Administration (AHCA) regulations
- Florida Statutes Chapter 456 (Health Professions and Occupations)
- Florida Statutes Chapter 408 (Health Care Licensing)
- Federal Trade Commission Act, 15 U.S.C. § 41 et seq.
Find A Staff LLC reserves the right to modify, update, or revise any of these policies at any time, at its sole discretion, to reflect changes in applicable law, platform operations, industry practices, or for any other reason.
How We Notify You
- Updated policies will be posted on this page with a revised effective date
- For material changes, we may provide additional notice via email to registered users or through prominent in-platform notifications
- Changes to the arbitration agreement will be provided with 30 days advance notice as required
Acceptance of Changes
Your continued use of the Find A Staff platform following the posting of any revised policy constitutes your acceptance of the updated terms. If you do not agree to any revised policy, you must discontinue use of the platform and may request account deletion by contacting us as described in Section 17.
